These Terms of Service (“Terms”) govern the use of Detektu, the API dependency intelligence service available at detektu.com (the “Service”; “Detektu”, “we”, “us”). By creating an account you enter into a binding agreement with us on these Terms on behalf of the organization you register, and you represent that you have authority to do so. Contact: legal@detektu.com.

1. The Service

1.1 Detektu monitors publicly available external API sources (specifications, changelogs, documentation, SDK releases) selected by you, detects changes, and reports whether your integration is likely affected, based on the usage information you provide.

1.2 The Service is an informational tool. It supports, but does not replace, your own monitoring, testing, and engineering judgment. We do not warrant that every relevant change in a third-party API will be detected, classified correctly, or reported within any particular time; third-party vendors control their own APIs, documentation, and publication practices. Impact assessments (“affected / not affected”) depend on the accuracy and completeness of the usage information you supply. Some analyses of vendor documentation are assisted by large language models and may contain errors; they are always accompanied by the underlying evidence (before/after excerpts and source references).

1.3 We may modify the Service and the shared vendor catalog, including adding, changing, or removing a vendor or source that becomes unavailable, unreliable, unsafe, or impractical to monitor, or for legal or operational reasons. Where reasonably practicable, we give advance notice of a change that materially reduces paid functionality.

2. Account and registration

2.1 Registration requires a valid email address. You must keep your credentials confidential and are responsible for activity under your account and API keys.

2.2 You must provide accurate information and keep it current.

2.3 Accounts belong to an organization. Users with the owner role administer the organization, including membership, API keys, plan, and billing.

3. Plans, fees, and billing

3.1 The current plans, prices, and included entitlements are shown on the pricing page and in the app at the time of ordering. The amount, currency, and tax presentation shown at checkout govern your order.

3.2 The Free plan is provided free of charge, without time limit, and with reduced entitlements. We may change Free plan entitlements with 30 days’ notice.

3.3 Paid plans are monthly subscriptions billed in advance and renew automatically each month until cancelled.

3.4 Paddle as merchant of record. Paid plans are sold and processed by Paddle as merchant of record: the payment transaction is between you and Paddle and is additionally subject to Paddle’s Buyer Terms presented at checkout, and Paddle calculates, collects, and remits applicable sales taxes (GST/HST, VAT, and similar) and issues the transaction receipt. We never receive or store your payment card details. These Terms continue to govern your use of the Service itself.

3.5 Upgrades take effect immediately; the price difference for the running billing period is prorated. Downgrades take effect at the end of the current billing period.

3.6 If a payment fails, we notify you and a retry/grace period applies. If payment is not received by the end of the grace period, your organization is moved to the Free plan per section 5.4. We do not delete your data because of a failed payment.

4. Cancellation and refunds

4.1 Cancellation. You may cancel a paid subscription at any time in the app, with effect from the end of the current billing period. Until then the paid entitlements remain available. No notice period, no cancellation fee.

4.2 No partial-period refunds. Amounts already paid for the current billing period are not refunded upon cancellation or downgrade. Because the Free plan lets you evaluate the Service before paying, paid periods are considered used once started. Paddle’s Refund Policy also applies to the payment transaction and may provide additional rights.

4.3 Exceptions. We refund in full where you request it within 24 hours of purchasing a paid plan; the paid entitlements end when the refund is issued. This 24-hour window applies to the purchase itself, not to automatic renewals. We also refund (pro rata) where required by applicable law, and where the Service was materially unavailable or defective for a significant part of a paid period and we could not remedy it within a reasonable time after you notified us.

4.4 Billing errors. Charges you believe are erroneous should be reported within 60 days; substantiated errors are corrected or refunded.

4.5 Refunds under this section are processed by Paddle as merchant of record to the original payment method. Payment disputes and chargebacks are likewise handled by Paddle.

5. Term, termination, and effects

5.1 The agreement runs for an indefinite term. You can terminate it entirely and request account deletion at any time by contacting legal@detektu.com; we can terminate ordinary use of the Free plan with 30 days’ notice.

5.2 Either party may terminate for cause without notice. Cause for us includes material breach of section 6, non-payment after the grace period, or use of the Service that creates legal exposure or endangers its operation.

5.3 After termination of the agreement we delete your organization’s data per our Privacy Policy, except where retention is legally required.

5.4 Over-limit state instead of deletion. If your plan’s entitlements shrink (downgrade, payment failure), existing monitored dependencies continue to be monitored and findings remain visible; you only lose the ability to create resources beyond the new limits, and entitlement-gated features (e.g. webhooks) are deactivated but retained. Nothing is deleted automatically.

6. Acceptable use

You must not:

  • monitor custom sources you have no right to access, or circumvent technical access restrictions of third-party sites;
  • use the Service to infringe third-party rights or applicable law;
  • resell the Service or systematically extract its data to build a competing change-detection offering;
  • attempt to breach tenant isolation, probe, or disrupt the Service;
  • exceed reasonable API request volumes or circumvent rate limits.

For custom sources you configure, you represent that you are entitled to have us fetch and process them, and you will indemnify us against third-party claims arising from your custom source configuration.

7. Your content and our data

7.1 You retain all rights to the data you submit (usage selections, custom source configurations, organizational data). You grant us the non-exclusive right to process it as necessary to provide the Service.

7.2 We use and disclose your non-public content only to provide, secure, and support the Service, comply with law, or as you direct. Our service providers may process it for those purposes subject to appropriate confidentiality and data-protection obligations.

7.3 We retain all rights to the Service, the shared vendor catalog, and findings data in anonymized, aggregated form (e.g. vendor-behavior statistics across tenants). Aggregated data never identifies your organization or reveals your configuration.

8. Availability and support

We aim for high availability, but the self-serve plans carry no service level agreement; SLAs are available on the Business plan under a separate agreement. Planned maintenance is announced when reasonably possible. Support is provided by email on a best-effort basis.

9. Warranties and limitation of liability

9.1 Disclaimer. To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available”, and we disclaim all warranties, conditions, and representations not expressly stated in these Terms, whether express, implied, or statutory, including implied warranties or conditions of merchantable quality, fitness for a particular purpose, and non-infringement. Without limiting section 1.2, we do not warrant that the Service will be uninterrupted, error-free, or that every third-party API change will be detected or reported.

9.2 Exclusion of certain damages. To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, or data, even if advised of the possibility — except for your indemnity under section 6, your payment obligations, and either party’s willful misconduct or gross negligence.

9.3 Cap. To the maximum extent permitted by applicable law, our total aggregate liability under or in connection with these Terms is limited to the fees you paid for the Service in the 12 months preceding the event giving rise to liability (for Free plan use: CAD $100).

9.4 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for bodily or moral injury.

9.5 Liability for loss of data is in any case limited to the recovery effort that would have been necessary had you kept reasonable backups of data only you hold.

10. Changes to these Terms

We may change these Terms by giving at least 30 days’ advance notice by email to organization owners, stating the effective date. If you do not agree, your remedy is to cancel before the effective date (section 4.1 — no fee); continued use of the Service after the effective date constitutes acceptance. Changes that materially reduce your rights or increase your obligations are highlighted as such in the notice.

11. Final provisions

11.1 These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods (CISG).

11.2 The courts of Toronto, Ontario have exclusive jurisdiction over disputes arising from these Terms, and each party attorns to them.

11.3 Should individual provisions be held invalid, they are enforced to the maximum extent permitted and the remainder stays in force.

11.4 You may not assign this agreement without our consent. We may assign it to a corporation continuing the Detektu business (e.g. upon incorporation) or in connection with a merger or sale of the business; your rights are unaffected.

11.5 These Terms are the entire agreement regarding the Service and supersede prior discussions. No waiver is implied from a failure to enforce.
